Plugin Marketplace Agreement

Terms governing the listing, distribution, and monetization of plugins on the Whatalo Marketplace.

This Plugin Marketplace Agreement ("Agreement") supplements the Developer Terms of Service and governs the listing, distribution, pricing, and monetization of your Plugin on the Whatalo Marketplace. Capitalized terms not defined herein have the meanings assigned in the Developer Terms of Service.


1. Listing Requirements

1.1 Required Information

Every Plugin submitted to the Marketplace must include:

CategorySelect the most appropriate category from the Marketplace taxonomy.
CompatibilityDeclare which Whatalo plan tiers your Plugin supports.

1.2 Listing Quality Standards

  • All listing content must be in the language(s) you declare as supported.
  • Descriptions must accurately represent the Plugin's functionality. No exaggerated claims.
  • Screenshots must depict the actual Plugin interface, not mockups or renderings.
  • Icons must not closely resemble the Whatalo logo or other Marketplace plugins' icons.
  • Keywords and tags must be relevant to the Plugin's actual functionality.

1.3 Listing Updates

You may update your listing content (description, screenshots, icon) at any time. Changes to listing content are reviewed and typically approved within two (2) business days unless they trigger a full review.


2. Pricing and Monetization

2.1 Pricing Models

Plugins on the Whatalo Marketplace may use the following pricing models:

2.2 Price Setting

  • You set the price for your Plugin. Whatalo does not dictate pricing.
  • Prices must be listed in USD. Local currency conversion is handled by the Platform.
  • Prices must be inclusive of the stated functionality. No hidden fees, in-plugin paywalls, or undisclosed charges unless explicitly declared as a freemium model.

2.3 Price Changes

You must provide at least 30 days' written notice before increasing the price of an existing paid Plugin. Existing subscribers will be notified of the price change before it takes effect.

  • Price decreases may take effect immediately.
  • Price increases apply only to new subscriptions and renewals after the notice period.
  • Existing subscribers retain their current price until their next renewal after the notice period expires.

2.4 Free-to-Paid Conversions

If you convert a free Plugin to a paid model:

  • You must provide sixty (60) days' notice to all currently installed users.
  • Existing installs must retain free access for a minimum of ninety (90) days after the conversion announcement.
  • The conversion must be clearly communicated through the Marketplace listing and in-plugin notices.

3. Revenue Share and Commissions

3.1 Platform Commission

Whatalo retains a platform commission on all paid Plugin subscriptions processed through the Marketplace billing system. Commission rates are specified in your Developer Dashboard and billing configuration.

3.2 Commission Calculation

  • Commission is calculated on the gross transaction amount before payment processor fees.
  • Payment processor fees (e.g., credit card processing) are deducted separately from the net amount.
  • Commission rates may vary based on your developer tier, Plugin category, and promotional agreements.

3.3 Revenue Adjustments

  • Refunds issued to Store Owners will be deducted from your revenue share.
  • Chargebacks are deducted from your balance, including any associated processing fees.
  • Whatalo reserves the right to hold funds for up to sixty (60) days in cases of suspected fraud or policy violations.

4. Payment Terms

4.1 Payment Schedule

  • Payments are processed monthly, within thirty (30) calendar days after the close of each month.
  • Minimum payout threshold: $50 USD. Balances below this threshold roll over to the next period.
  • Payment methods available: bank transfer, as configured in your Developer Dashboard.

4.2 Tax Responsibilities

  • You are solely responsible for all taxes applicable to payments received from Whatalo.
  • You must provide accurate tax information (W-9, W-8BEN, or equivalent) as required.
  • Whatalo may withhold taxes as required by applicable law.

4.3 Reporting

  • Revenue reports are available in your Developer Dashboard.
  • Reports include gross revenue, commission deductions, refunds, chargebacks, and net payouts.
  • Discrepancies must be reported within sixty (60) days of the statement date.

5. Plugin Takedown

5.1 Voluntary Takedown by Developer

You may request removal of your Plugin from the Marketplace by providing thirty (30) days' written notice to Whatalo. During the notice period:

  • Your Plugin remains available to existing installs but is hidden from new installations.
  • You must continue providing support to Store Owners with active installations.
  • Active subscriptions continue through their current billing period.
  • After the notice period, Whatalo will remove your Plugin listing from the Marketplace.

Abandoning a Plugin without proper takedown notice may result in account penalties, including withholding of unpaid revenue and restrictions on future submissions.

5.2 Takedown by Whatalo

Whatalo reserves the right to remove any Plugin from the Marketplace at its discretion if the Plugin:

  • Violates these Terms, the Developer Terms of Service, or any applicable policy.
  • Poses a security risk to the Platform, Store Owners, or End Users.
  • Violates applicable laws or regulations.
  • Receives persistent negative feedback or unresolved support complaints.
  • Becomes abandoned (no developer response to support requests for thirty (30) consecutive days).

In the case of an emergency (active security vulnerability, data breach, or legal compliance), Whatalo may remove a Plugin immediately without prior notice. In all other cases, Whatalo will provide reasonable notice and an opportunity to cure the issue.

5.3 Effects of Takedown

Upon Plugin removal:

  • The Plugin is no longer visible in the Marketplace.
  • Existing installations continue to function but receive no further updates.
  • Active subscriptions are not renewed at the end of their current billing period.
  • The Developer is responsible for communicating the discontinuation to affected Store Owners.

6. Version Updates and Review

6.1 Update Submission

All Plugin updates that introduce new features, modify data access scopes, or change the Plugin's core functionality must be submitted for review before publication.

6.2 Expedited Review

Bug fixes and minor patches that do not change functionality or data access may be eligible for expedited review (typically one to two business days).

6.3 Backward Compatibility

  • Major version updates should maintain backward compatibility where feasible.
  • Breaking changes must be clearly documented in the update notes.
  • Store Owners must be given reasonable notice (minimum 14 days) before breaking changes take effect.

7. Support Obligations

7.1 Response Times

7.2 Support Channels

  • You must maintain at least one active support channel (email, help desk, or community forum).
  • Your support URL in the Marketplace listing must link to a functional support channel.
  • Whatalo may contact you directly regarding urgent issues reported by Store Owners.

7.3 Accountability

Failure to meet support response times consistently (defined as missing SLA on more than 20% of tickets in a rolling 30-day period) may result in:

  • A warning notice from Whatalo.
  • Reduced visibility in Marketplace search results.
  • Temporary suspension of new installations.
  • Plugin removal for persistent non-compliance.

8. Transfer of Ownership

8.1 Requirements

Transfer of Plugin ownership to another developer requires:

  • Thirty (30) days' written notice to Whatalo.
  • The receiving developer must have an active, compliant developer account.
  • Both parties must confirm the transfer in writing.
  • Whatalo must approve the transfer (approval will not be unreasonably withheld).

8.2 Post-Transfer

  • The receiving developer assumes all obligations under this Agreement.
  • Active subscriptions and support obligations transfer to the new owner.
  • Revenue share arrangements restart under the receiving developer's terms.
  • Store Owners with active installations will be notified of the ownership change.

9. Marketplace Visibility

9.1 Search and Discovery

Whatalo determines Marketplace search ranking based on factors including but not limited to:

  • Plugin quality, ratings, and reviews.
  • Installation count and retention rate.
  • Support responsiveness and resolution rate.
  • Listing completeness and quality.
  • Policy compliance history.

Whatalo may feature select Plugins in promotional placements at its discretion. Featured placement does not imply endorsement.

9.3 No Guarantees

Whatalo does not guarantee any level of visibility, installations, or revenue for any Plugin.
