The following template covers the essential provisions a Plugin EULA should include. Sections marked with [PLACEHOLDER] must be replaced with your own information before use.


End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and [YOUR COMPANY NAME] ("Developer," "we," "us," or "our") governing your use of [YOUR PLUGIN NAME] ("Plugin") available through the Whatalo Marketplace.

By installing, activating, or using the Plugin, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Plugin.


1. License Grant

Subject to the terms of this EULA, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Plugin on your Whatalo store(s) for your internal business purposes.
  • Access the Plugin's features and functionality as described in the Marketplace listing.
  • Permit your authorized employees and agents to use the Plugin in connection with operating your store(s).

This license is granted for the duration of your active subscription (for paid Plugins) or until terminated in accordance with Section 6 (for free Plugins).

2. License Restrictions

You shall not, and shall not permit any third party to:

  • Copy or Redistribute — Reproduce, distribute, sublicense, or make the Plugin available to any third party outside your authorized store(s).
  • Modify or Derive — Modify, adapt, translate, or create derivative works based on the Plugin.
  • Reverse Engineer — Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Plugin, except to the extent expressly permitted by applicable law.
  • Remove Notices — Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Plugin.
  • Circumvent — Circumvent, disable, or interfere with any security features, license verification, or access controls of the Plugin.
  • Competitive Use — Use the Plugin, or information obtained through it, to build a competing product or service.
  • Exceed Scope — Use the Plugin beyond the scope of the purchased license tier or subscription plan.

3. Intellectual Property

The Plugin, including all code, design, documentation, and related materials, is the intellectual property of the Developer and is protected by applicable copyright, trademark, and other intellectual property laws.

This EULA does not transfer any ownership rights in the Plugin to you. You receive only the limited license rights expressly granted in Section 1.

4. Data Collection and Privacy

By using the Plugin, you acknowledge and agree that:

5. Disclaimer of Warranties

Developers: you may choose to offer specific warranties depending on your Plugin and jurisdiction. The following is a standard disclaimer. Consult your legal counsel.

THE PLUGIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE PLUGIN WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ALL STORE CONFIGURATIONS.
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS OBTAINED THROUGH THE PLUGIN.

THE DEVELOPER DOES NOT WARRANT THAT THE PLUGIN WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The Developer's total aggregate liability to you for all claims arising out of or relating to this EULA or the Plugin shall not exceed the total fees paid by you for the Plugin during the twelve (12) months immediately preceding the event giving rise to the claim. For free Plugins, the Developer's total liability shall not exceed fifty U.S. dollars ($50 USD).
  • In no event shall the Developer be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
  • The Developer is not liable for any loss or damage arising from circumstances beyond its reasonable control, including Platform outages, third-party service failures, or force majeure events.

7. Termination

7.1 Termination by User

You may terminate this EULA at any time by uninstalling the Plugin from your store(s). For paid Plugins, uninstalling will cancel your subscription at the end of the current billing period.

7.2 Termination by Developer

The Developer may terminate this EULA:

  • With thirty (30) days' written notice for any reason.
  • Immediately if you breach any term of this EULA.
  • Immediately if the Plugin is removed from the Whatalo Marketplace.

7.3 Effects of Termination

Upon termination:

  • Your license to use the Plugin is immediately revoked.
  • The Plugin will be deactivated on your store(s).
  • The Developer will delete your store data in accordance with its Privacy Policy and the Whatalo Privacy & Data Requirements (within 30 days).
  • No refunds are issued for the current billing period of paid Plugins, unless required by applicable law.

8. Support and Maintenance

The Developer provides support through the channels listed on the Plugin's Marketplace page. Support includes:

  • Bug fixes and security patches for the current version of the Plugin.
  • Reasonable response to support inquiries within the timeframes specified on the Marketplace listing.

Support does not include:

  • Customization or modification of the Plugin for your specific needs.
  • Support for third-party integrations not documented by the Plugin.
  • Support for Plugin versions that are no longer maintained.

9. Updates

The Developer may release updates to the Plugin from time to time. Updates may include bug fixes, security patches, and new features. By using the Plugin, you agree that updates may be applied automatically through the Whatalo Platform.

Major version updates that introduce breaking changes will be communicated with at least fourteen (14) days' notice.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of [YOUR JURISDICTION], without regard to its conflict-of-laws principles.

11. Entire Agreement

This EULA, together with the Developer's Privacy Policy and any applicable subscription terms, constitutes the entire agreement between you and the Developer with respect to the Plugin and supersedes all prior agreements, understandings, and communications.
